Mermaid A/S has agreed on the acquisition of all shares in HEADLINE.TV AS (Norway) and of all the activities in HEADLINE.TV Aps (Danmark) on the 1st of January 2011. With this merger Mermaid consolidates its position as the absolute largest supplier of Digital Signage in Scandinavia. At the same time Mermaid gets access to the rest of Europe through HEADLINE.TV's partner agreements in Switzerland, Germany and Austria. Mermaid will join the companies' Norwegian activities in HEADLINE.TV AS, which means that there will not be any changes in relation to HEADLINE.TV existing customers in Norway. HEADLINE.TV is priced at 4,17 million DKK. The entire amount will be converted to Mermaid shares. The used share price is 3,47 DKK. I connection to this deal, Mermaid will increase the amount of shares with 1,2 million new shares, bringing the total to 11.419.359. HEADLINE.TV's main owner CEMB Aps and the other shareholders in HEADLINE.TV remain as shareholders in Mermaid. As part of the deal it is agreed that CEMB buys Mermaids own 685.000 shares at a share price of 4,5. As a consequence CEMB will own 13,88 of Mermaid A/S. With this consolidation Mermaid continues with its strategy to play an active part in the general consolidation process in the market.In this connection, Mermaid has entered into cooperation with an external partner to look for other opportunities for further consolidation in the market.
